Terms of Service

1. Agreement to Terms

By accessing or using the Gift of Gab platform ("Service"), operated by Gift of Gab Tech Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Gift of Gab is an AI-powered platform designed for real estate professionals. The Service includes, but is not limited to:

• AI-powered call summaries and CRM automation
• Integration with third-party CRM systems, including Follow Up Boss
• Automated morning briefings and action recommendations
• Contact management and conversation analysis
• Team collaboration and dashboard features
• Voice, transcription, and communication tools

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Accounts and Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you meet this age requirement and that all registration information you submit is truthful and accurate.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable federal, state, local, or international law or regulation
• Send or facilitate the sending of unsolicited or unauthorized advertising, spam, or promotional materials
• Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• Engage in any activity that interferes with or disrupts the Service or the servers and networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service
• Use the Service for any purpose that is unlawful, harassing, abusive, or otherwise objectionable
• Upload or transmit viruses, malware, or any other type of malicious code
• Scrape, crawl, or use automated means to access the Service beyond intended API usage

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms.

5. Subscriptions, Billing, and Refunds

The Service is offered on a subscription basis. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a monthly recurring basis.

The Service may integrate with third-party services, including but not limited to Follow Up Boss, Stripe, Google, and Twilio. Your use of these integrations is subject to the respective third-party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of any third-party service.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Gift of Gab Tech Inc. and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service, including AI-generated recommendations
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our aggregate liability exceed the greater of one hundred dollars ($100.00) or the amount you have paid us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of dealing. We do not warrant that the Service will function uninterrupted, be secure, or be available at any particular time or location, or that any defects will be corrected.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

Upon termination, we will make your data available for export for a period of 30 days. After this period, we reserve the right to delete your data in accordance with our data retention policies.

11. Governing Law

These Terms shall be governed by and construed in accordance with the federal laws of Canada and the laws of the Province of Ontario, without regard to conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in the Province of Ontario, Canada. Gift of Gab Tech Inc. is a Canadian corporation and operates in compliance with Canadian federal and provincial legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA).

12. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, either by posting a notice on the Service or by sending an email to the address associated with your account. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
